Terms & Conditions of Sale.

01. Acceptance

These Terms & Conditions of Sale (the “Terms”) govern your access to and use of the Phoenix Global^™ website (the “Site”) and the purchase of any products or services offered by Phoenix Global LDC^™ (“Phoenix Global,” “we,” “us,” or “our”). By browsing the Site, submitting an inquiry, or placing an order, you agree to be bound by these Terms in full.

02. Products, Specifications & Pricing

All product specifications, pricing tiers, and availability figures displayed on the Site are based on current regional rate cards and accepted global manufacturing tolerances. Small variances in linear footage, weight, gauge mass, paper GSM, and film thickness may occur within those tolerances and do not constitute a defect. Phoenix Global reserves the right to modify pricing, product configurations, and inventory levels without prior notice. Confirmed quotations are valid for the period stated on the quote document and supersede any published list pricing for that engagement.

03. Orders, Acceptance & Payment

All orders are subject to written acceptance by Phoenix Global. Acceptance occurs upon issuance of a confirmation notice or the dispatch of goods, whichever comes first. Payment terms are stated on each invoice; unless otherwise agreed in writing, invoices are payable in full within the stated net term. Late payments accrue interest at the maximum rate permitted under Quebec law.

04. Delivery, Title & Risk of Loss

Unless otherwise specified, deliveries are quoted FOB Phoenix Global regional hub. Title and risk of loss pass to the purchaser upon transfer of the goods to the carrier at the dispatch bay. Estimated delivery windows are provided in good faith and are not firm commitments; Phoenix Global is not liable for delays caused by carriers, weather events, customs holds, or other circumstances beyond our reasonable control.

05. Customer Evaluation Obligation

Industrial packaging consumables perform under variable real-world conditions. It is the sole responsibility of the purchaser and end-user to independently test and evaluate the material under actual field conditions — including specific equipment, application methods, machine calibrations, warehouse micro-climates, and environmental extremes — prior to high-volume deployment. Sample quantities are available on request for pre-deployment validation.

06. Returns & Material Claims

Material claims must be submitted in writing within fifteen (15) business days of delivery, accompanied by lot identifiers and field evidence. Phoenix Global will, at its sole discretion, replace conforming material, issue a credit, or refund the affected portion of the order. Returns of conforming material may incur a restocking fee. Custom-spec, cut-to-order, and pre-allocated reserved inventory are non-returnable.

07. Limited Warranty Disclaimer

All technical information, statements, and recommendations regarding products sold or previewed by Phoenix Global^™ are based on industrial testing profiles believed to be reliable, but do not constitute an absolute assurance or ironclad warranty. Phoenix Global makes no warranties, either express or implied, including any warranties of merchantability or fitness for a particular or specific purpose. Packaging performance can vary significantly based on application methods, substrate compositions, machinery calibrations, micro-climates, and environmental extremes beyond our direct control.

08. Limitation of Liability

To the maximum extent permitted by law, Phoenix Global^™ assumes no liability for damages, material failures, or operational downtime resulting from improper application, machine miscalibration, or use outside of specified thermal and physical thresholds. In no event will Phoenix Global be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption, arising out of or in connection with the products or this Site, even if advised of the possibility of such damages.

09. Intellectual Property

All content on the Site — including trademarks, product names, copy, images, logos, and the “Phoenix Global^™” mark itself — is the property of Phoenix Global LDC^™ or its licensors and is protected by Canadian and international intellectual-property law. Nothing on the Site constitutes a license to use any patent, trademark, or copyright held by Phoenix Global without our prior written consent.

10. General Legal & Website Disclaimer

The information provided on this website by Phoenix Global^™ is for general informational and operational reference purposes only. While we endeavor to keep all corporate data and product frameworks accurate and current, we make no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, reliability, suitability, or availability of the website or the information, products, or related graphics contained herein for any purpose. Any reliance you place on such information is strictly at your own risk. In no event will Phoenix Global^™ be liable for any loss or damage, including without limitation, indirect or consequential loss or damage, arising out of, or in connection with, the use of this website.

11. Force Majeure

Phoenix Global is not liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to acts of God, war, civil disturbance, government action, labour disputes, supply chain disruption, carrier interruption, pandemic, severe weather, or any other force majeure event.

12. Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without reference to its conflict-of-laws principles. The parties irrevocably submit to the exclusive jurisdiction of the courts of Quebec for any dispute arising out of or relating to these Terms or the products purchased hereunder.

13. Changes to These Terms

Phoenix Global may update these Terms at any time. The current version is always posted at this URL with an effective date at the top. Continued use of the Site or continued purchasing relationship after a change constitutes acceptance of the updated Terms.

14. SMS/Text Messaging & Electronic Communications

By providing a mobile phone number and opting in — via the consent checkbox on our Contact page, at checkout, or by otherwise expressly agreeing — you consent to receive recurring automated text (SMS) messages from Phoenix Global LDC^™ at the number provided, sent from our toll-free line (888) 897-6768. Messages include order and account updates and, where you have consented, promotional offers. Consent to receive marketing messages is not a condition of any purchase.

Message frequency varies, and message and data rates may apply depending on your mobile carrier and plan. Carriers are not liable for delayed or undelivered messages.
